Terms and Conditions

Please note that these terms and conditions may be updated from time to time. By continuing to access and use of the service, you agree to review and be bound by the updated terms. We will notify you of any significant changes to these terms.

 

Service Offered

Online access to accounting software for accounting purposes.

Account

Upon acceptance of your application for an Inxides account, a legally binding contract will be created between you (the Account Holder) and us. By applying for an Inxides account, you warrant that you are authorized to enter into this Agreement. Our agreement with you is governed by these Terms and Conditions. We reserve the right, at our discretion, to decline an application for an Inxides account. This may be due to technical constraints, a previous ban on your business from using the service, inability to confirm your identity adequately, or any other reason. No charges will be made for declined applications.

Limitation of Liability

Inxides provides its services at an affordable cost, and its liability to you is limited to the fees collected from you.

Exclusion of Liability

Inxides will not be liable for any losses, penalties, surcharges, interest, or additional tax liabilities resulting from the acts or omissions of any other person, incomplete or misleading information provided to us, failure to act on our advice, or failure to provide relevant information.

Exclusion of Liability for Circumstances beyond Our Control

Inxides will not be liable to you for any delay or failure to perform its obligations if the delay or failure is caused by circumstances beyond our control.

Exclusion of Liability for Fraud and Misrepresentation

Inxides will not be responsible or liable for any loss, damage, or expense incurred if material information related to the service is withheld, concealed, or misrepresented. This includes fraudulent acts, misrepresentation, or willful default by any party to the transaction, including their directors, officers, employees, agents, or advisers.

Limitation of Third-Party Rights

The advice and information provided by Inxides as part of the service are for your sole use and should not be communicated to any third party unless we have expressly agreed to it. We do not accept responsibility for any advice, information, or material produced as part of our work for you and shared with third parties.

Your Responsibilities

To ensure proper account management, you agree to protect your account credentials and not share your login information with anyone outside your organization.

​

Access

Access to the Inxides service requires a valid username and password. If you are unable to retrieve your password using the online password reset tool, you will need to go through a manual verification process to reclaim your account. Inxides reserves the right to make the final decision regarding account access.

​

License

You are granted a non-transferable, non-exclusive license to use the service in accordance with these Terms and Conditions. If you choose to give another party access to your account, you do so at your own risk, and you will remain primarily liable to Inxides for complying with these Terms and Conditions.

​

Security

The Account Holder is responsible for administering and safeguarding any passwords created to control access to their Inxides account. Inxides does not have access to Account Holder passwords without authentication and permission. All data transfers between our servers and any external environment are encrypted.

​

Fees and Payment Terms

Subscription fees will be charged according to the plans mentioned on the pricing page. We strictly comply with applicable tax laws and will charge the applicable taxes.

​

Non-payment

We are not obligated to provide the service if the subscription fee is not paid on time. The Account Holder must ensure that we have complete and accurate billing and contact information. If subscription fees become overdue, we reserve the right to suspend your access to the service and permanently close your Inxides account.

Suspension or Termination

We reserve the right to suspend or terminate your access to the service if you fail to abide by these Terms and Conditions or if payment of the subscription fees is not made on time. If access to the service is withdrawn, no refund will be issued. We will provide one month's notice prior to suspending an account, and if any outstanding issues are not resolved within the following month, we will disengage as your Agent. We also reserve the right to close any Inxides account for any reason, with one month's notice. Please note that account suspension may lead to missed submission deadlines, and Inxides cannot be held liable for any resulting fines.

Cancellation

You can close your Inxides account at any time by contacting us at support@inxides.com. No further subscription fees will be billed, and no refund will be issued for any already billed and paid subscription fees. Refunds are only eligible during the first 30 days of registration, and you must provide a convincing reason for cancellation.

Availability

We will make reasonable efforts to ensure that the service is suitable for your intended use. However, we cannot guarantee that it will be error-free, timely, entirely secure, virus-free, or available at all times due to factors beyond our control. Maintenance and support work may require occasional suspension of the service.

​

Prohibited Use

Except as permitted under this Agreement, you shall not remove or alter copyright notices, provide content to unauthorized users, or alter any part of the content without permission.

Ownership

All Intellectual Property Rights related to the Service belong to us. You do not obtain ownership rights in the Service or any Intellectual Property Rights associated with it. You retain ownership of any Intellectual Property Rights you have in your data. We reserve the right to disclose your data to law enforcement officials in the investigation of fraud or other unlawful activities but will otherwise only use your data to provide the Service.

Exclusion of Our Liability

You use the Service at your own risk. We do not restrict our liability for personal injury or death resulting from our negligence, for fraud committed by us, or for any matter where limiting liability would be illegal. However, we exclude all other liability for any loss or damage arising from the Service.

Limitation of Our Liability

Except where we are not legally entitled to exclude our liability, our total liability for any loss or damage relating to the Service shall not exceed the subscription fees paid to us in the previous month.

​

Liability to Us

If you breach these Terms and Conditions, the Account Holder shall be held liable for any reasonable costs and expenses incurred by us. Otherwise, you shall be held personally liable for any reasonable costs and expenses incurred by us due to your breach.

Further Provisions

These Terms and Conditions, along with our Privacy Statement, constitute the entire agreement between you and us regarding the Service, superseding any prior understandings or agreements. We may assign or subcontract our rights and obligations under these Terms and Conditions. You may not transfer any of your rights or obligations without our prior written consent. Failure to enforce any terms and conditions does not waive the right to enforce them later. If any provision is held invalid, the remaining provisions shall remain in effect to the fullest extent possible.

Data Protection

To carry out the services and related purposes, we may obtain, process, use, and disclose personal data about you. Please refer to our Privacy Statement for more information.

Electronic and Other Communication

We will communicate with you and with third parties via email or by other electronic means, unless another method is more appropriate. You will be responsible for virus-checking emails and any attachments. With electronic communication, there is a risk of non-receipt, delayed receipt, inadvertent misdirection, or interception by third parties. We use virus-scanning software to reduce the risk of transmitting viruses or similar damaging items through emails or electronic storage devices. However, electronic communication is not entirely secure, and we cannot be held responsible for any damage or loss caused by viruses or for communications that are corrupted or altered after dispatch. We also cannot accept any liability for problems or accidental errors related to this means of communication, especially concerning commercially sensitive material. Any communication from us to you sent through the postal system is deemed to arrive at your postal address two working days after the day the document was sent.

Retention of and Access to Records

You have a legal responsibility to retain documents and records relevant to your tax affairs. During the course of our work, we may collect information from you and others relevant to your tax affairs. We will return any original documents to you upon request. However, please note that certain documents may legally belong to you, and we may destroy correspondence and other papers that we store, electronically or otherwise, which are more than 7 years old. Please inform us if you require the return or retention of any specific documents for a longer period.

Applicable Law

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. The parties agree to submit to the exclusive jurisdiction of the courts of Malaysia.

Definitions

 

"Account Holder" refers to a sole trader, firm, limited company, or any other legal entity that has an Inxides account.

​

"Inxides account" refers to a current subscription to the Service.

​

"Service" refers to the Inxides software accessed and used via our password-protected websites.

​

"us," "we," and "our" refer to Tera Algorithm Cloud Technology Plt.

​

"you" refers to the Account Holder.

​

"your Data" refers to any data entered or uploaded by you while using the Service.
